Terms & Conditions
Article 1
All and any business undertaken by Pantapasin International is transacted subject to the terms and conditions herein. These terms and conditions shall prevail over all others unless expressly agreed to the contrary, by Pantapasin International, in writing.
Article 2
All assignments by Pantapasin International will be confirmed in writing. Any changes in our general terms and conditions will be mentioned in the specific contract.
Article 3
A request by a company to arrange any interview, between an individual or individuals by Pantapasin International, with a client or third party, shall be deemed to be acceptance of these terms and conditions by that client as shall the engagement of an individual introduced to a client or third party through a client.
Article 4
If any (retained) assignment should be cancelled or the terms of reference materially altered by the client, for any reason, Pantapasin International is allowed to charge a cancellation fee (1/3 of 25% of stated annual gross remuneration) in any case she sees fit.
If any (retained) assignment is put on hold by the client, for any reason, and the (retained) assignment is not reopened within four months, Pantapasin International is allowed to charge a cancellation fee (1/3 of 25% of stated annual gross remuneration) in any case she sees fit.
Article 5
Pantapasin International shall endeavor to ensure the suitability of any candidate introduced to the client and to maintain a high standard of service and integrity but Pantapasin International makes no warranty, expressed or implied, as to the suitability of any individual to a client.
Pantapasin International shall not be liable to the client for any loss, damage, costs, claims for expenses suffered or incurred by the client arising from or connected with the recruitment or engagement of any candidate by the client, howsoever arising.
Article 6
The fee of 25% is based on the gross annual remuneration package of the successfully introduced candidate (including the on-target bonus). Value Added Tax will be added to all invoices, where applicable.
Fees will be split in the following way:
I Retainer fee (1/3)
Due upon commencement of the assignment
II Shortlist fee (1/3)
Due upon presentation of the shortlist
III Placement fee (1/3)
Balance due upon signing of the contract by the selected candidate
Advertising costs and/or foreign research costs will be charged accordingly. Any additional costs (e.g. travel expenses of candidates and/or consultant) will always be discussed with you before they are charged.
Article 7
Should the engagement of any individual introduced by Pantapasin International terminate within twelve weeks from the date of engagement, no rebate will be payable. Instead Pantapasin International will endeavor to find a satisfactory replacement at no extra costs to the client, except for agreed advertising costs, provided that:
- The client notifies of the termination, in writing, within five days thereof.
- The candidate leaves of his/her own accord or in the case of dismissal that the dismissal is justified.
- The termination is not due to redundancy, restructuring or organization changes in case of mergers and acquisition of any kind.
- The client or any associate or subsidiary company does not engage such an individual within 12 months from the date of termination.
- All terms and conditions contained herein have been complied with the client.
Article 8
The full amount of all fees and any other charges shall be paid in full by the client within 30 days from the date of our invoice.
Article 9
The present assignment and all assignments resulting from it shall be subjected to Dutch law. All disputes arising from the aforesaid agreement(s) shall be exclusively settled by the court which is competent in the district in which Pantapasin International’s registered office or the domicile of the defendant is situated.
